Terms of Service
Version 2.1, 4 November 2026
1. Who We Are
FreshOS (the “Service”) is a business management application designed for food stores and retailers.
FreshOS is published and operated by Barokat Halal Food Co., Ltd., a company incorporated in Thailand, registration number 0845568011608, with its registered office at: 55/4 Moo 4, Kanjanavithi Road, Ban Tai, Koh Phangan District, Surat Thani, Thailand.
In these Terms, “FreshOS”, “we”, “us” or “our” refers to Barokat Halal Food Co., Ltd.
You can contact our team at any time through the in-app Support chat.
These Terms form an agreement between Barokat Halal Food Co., Ltd. and the merchant or business operating a store through FreshOS (“you” or “the Merchant”).
They apply to Merchants and their authorised staff members. They do not govern purchases made by customers from a Merchant’s online store. Those purchases are transactions between the Merchant and its customers.
By creating an account or using FreshOS, you agree to these Terms.
2. The Service
FreshOS provides tools to help you manage your business, including:
- Point of Sale (POS) for in-store sales.
- Product and inventory management.
- Online storefront.
- Purchasing and supplier management tools.
- Customer accounts and order management.
- Sales reports and business information.
FreshOS is provided as a web application (PWA), accessible through compatible devices and browsers.
We may add, improve, modify or remove features as the Service develops. We will make reasonable efforts to inform you of significant changes that materially affect your use of FreshOS.
3. Your Account and Responsibilities
You may register your store using a Google account.
You are responsible for:
- Providing accurate and up-to-date account and business information.
- Keeping your login credentials secure.
- All activity carried out through your account.
- Managing the staff members you invite and the permissions you grant them.
- Ensuring that your staff members follow these Terms.
- Keeping your business information, prices and product details accurate.
You must notify us promptly if you suspect unauthorised access to your account.
You agree not to:
- Use FreshOS for unlawful activities.
- Upload malicious software or harmful content.
- Attempt to access another Merchant’s data or account.
- Attack, disrupt or overload the Service or its infrastructure.
- Reverse engineer, copy or attempt to extract the source code of FreshOS, except where applicable law expressly permits it.
- Use automated tools to scrape or collect data from the Service without our written permission.
You remain responsible for the products and services you sell, including their legality, quality, safety, descriptions and compliance with applicable regulations.
4. Pricing and Subscription Plans
Creating an account and setting up your store is free.
Before making your store publicly available (“Go Live”), you must select one of the following plans.
PLAN A: TRANSACTION-BASED
- 1% commission on all sales recorded through FreshOS, at the in-store POS and in the FreshOS Online Store.
- No fixed monthly subscription fee.
- Commission calculated monthly.
PLAN B: MONTHLY SUBSCRIPTION
- THB 1,990 per month.
- Paid in advance.
- Unlimited sales through both the Online Store and in-store POS.
PLAN C: ANNUAL SUBSCRIPTION
- THB 17,880 per year.
- Equivalent to THB 1,490 per month.
- Paid annually in advance.
- Unlimited sales through both the Online Store and in-store POS.
All three plans include access to all standard FreshOS features.
The plan selected when your store goes Live remains applicable for the agreed subscription term. You cannot change plans during that term. A change may be made at renewal, subject to mutual agreement.
4.1. Commission
Under Plan A, FreshOS charges a commission of 1% on all sales recorded through FreshOS, at the in-store POS and in the Merchant’s FreshOS Online Store, whatever the payment method.
The commission is calculated on the sale value after discounts.
An online order may only be cancelled through FreshOS before its processing has started.
Once an order reaches the “Processing” status (shown as “Picking” in the application), it can no longer be cancelled through FreshOS and is considered a confirmed sale for commission purposes.
Orders cancelled before reaching the “Processing” status do not generate any commission.
A POS sale refunded in full through FreshOS does not generate any commission.
FreshOS does not provide a built-in refund mechanism for online orders once processing has started.
Any customer refund, complaint or other obligation arising from a sale remains the responsibility of the Merchant, subject to applicable law.
4.2. Monthly Commission Settlement
Under Plan A, eligible sales are calculated at the end of each calendar month.
FreshOS will provide the Merchant with a monthly statement or invoice showing the applicable commission.
Payment must be made by the deadline indicated on the invoice.
4.3. Subscription Renewal and Cancellation
Monthly and annual subscriptions are paid in advance.
A subscription remains active for the period already paid.
If a Merchant cancels an active subscription, cancellation takes effect at the end of the current paid subscription period.
All subscription payments are non-refundable. No partial refund or credit will be issued for unused subscription time, except where required by applicable law.
5. Your Business Data
Your business information remains under your control.
This includes:
- Product catalogue.
- Sales and transaction records.
- Inventory information.
- Supplier information.
- Customer records.
- Orders and delivery information.
- Business reports.
We do not claim ownership of your business data or use it to operate a competing business.
We process and store this information only as necessary to provide, maintain, secure and support FreshOS, comply with applicable laws, and fulfil our obligations under these Terms and our Privacy Policy.
You may request an export of your available business data in standard CSV format through the in-app Support chat.
When you close your store, we will provide a reasonable opportunity to request an export before deletion, subject to applicable technical and legal requirements.
We may retain certain information where required by law or where necessary to resolve disputes, enforce agreements or protect our legitimate interests.
Personal data is handled in accordance with our Privacy Policy.
6. Payments Between You and Your Customers
FreshOS allows Merchants to display PromptPay QR codes to customers at checkout.
Based on the current functionality of the Service, PromptPay payments are made directly from the customer to the Merchant’s own PromptPay account.
FreshOS does not receive, hold or transfer these customer payments.
You are responsible for:
- Providing and verifying the correct PromptPay account details in your store settings.
- Ensuring that displayed payment information is correct.
- Checking that payments have actually been received.
- Managing refunds, payment disputes and transaction reconciliation.
If you enter an incorrect PromptPay account number, FreshOS cannot recover or redirect a payment sent to the wrong account.
The legal classification of payment-related activities remains subject to applicable Thai law and regulatory requirements.
7. Taxes and Invoices
FreshOS provides tools to help you calculate and manage tax information, including VAT settings and product tax categories.
These tools are provided for operational assistance only. They do not constitute tax, accounting or legal advice.
You are solely responsible for:
- Determining whether your business must register for VAT.
- Configuring the correct tax settings.
- Applying the correct tax rates and categories.
- Issuing legally compliant tax invoices where required.
- Maintaining accounting and financial records.
- Filing tax returns and paying applicable taxes to the Thai Revenue Department or other relevant authorities.
FreshOS does not guarantee that automatically calculated tax amounts will be correct in every situation.
FreshOS Subscription and Commission Fees
FreshOS currently does not charge VAT on its subscription or commission fees.
If VAT or another applicable tax becomes legally chargeable on FreshOS fees, it will be applied in accordance with Thai law. Merchants will be informed of any relevant changes.
8. Availability and Technical Limitations
We aim to keep FreshOS available and operational at all times.
However, we cannot guarantee uninterrupted or error-free access.
The Service may occasionally be unavailable due to:
- Scheduled maintenance or technical updates.
- Internet or telecommunications failures.
- Power outages.
- Device or browser compatibility issues.
- Failures affecting third-party infrastructure or services.
- Circumstances beyond our reasonable control.
We will make reasonable efforts to announce planned maintenance in advance whenever possible.
Certain POS functions may be available during an internet outage, depending on the device and functionality concerned. Data availability and synchronisation may be affected by the technical conditions of the device.
You remain responsible for maintaining appropriate business records and checking that important transactions have been correctly recorded.
9. Intellectual Property and Third-Party Services
FreshOS, including its software, design, branding, interface, documentation and underlying technology, belongs to Barokat Halal Food Co., Ltd. or its licensors.
We grant you a limited, non-exclusive, non-transferable right to use FreshOS for your own business while your account is active and in accordance with these Terms.
You may not copy, resell, distribute or commercially exploit FreshOS without our prior written permission.
FreshOS may rely on third-party services and infrastructure, including authentication, hosting and cloud providers.
Your use of those services may also be subject to their respective terms and privacy policies.
We are not responsible for interruptions or failures caused by third-party services beyond our reasonable control.
10. Limitation of Liability
To the maximum extent permitted by applicable Thai law:
- FreshOS is a business management tool. You remain responsible for your business decisions and operations.
- We are not responsible for losses caused by incorrect information entered by you or your staff.
- We are not responsible for losses resulting from incorrect PromptPay account details or payments made directly to the Merchant.
- We are not responsible for indirect or consequential losses, including loss of profits, revenue, business opportunities or anticipated savings.
For ordinary claims arising from the use of FreshOS, our total liability will not exceed the total fees actually paid by you to FreshOS during the twelve (12) months immediately preceding the event giving rise to the claim.
If you have not paid any fees during that period, the applicable limit will be zero.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability arising from fraud, wilful misconduct or other circumstances that cannot legally be excluded.
11. Suspension and Termination
Closing Your Store
You may stop using FreshOS and close your store at any time through the available account settings or by contacting our Support team.
If you have a prepaid subscription, cancellation will normally take effect at the end of the current paid subscription period.
Subscription payments are non-refundable, except where required by applicable law.
Suspension by FreshOS
We may suspend or restrict access to your account if:
- You materially breach these Terms.
- Your account presents a security risk.
- Your use of FreshOS threatens the stability or security of the Service.
- Your activities are unlawful or expose FreshOS to legal or regulatory risk.
- You fail to pay amounts properly due.
Where reasonably possible, we will contact you before suspension and give you an opportunity to resolve the issue.
We may suspend access immediately where necessary to protect the Service, other users or comply with legal obligations.
After Termination
Following closure or termination, access to your store may be disabled.
We will provide a reasonable opportunity to export available data where technically and legally possible.
We may subsequently delete your data, subject to applicable legal retention requirements, backup cycles and our Privacy Policy.
Any provisions which by their nature should continue after termination will remain in effect.
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, our business operations or applicable law.
For significant changes, we will provide notice through the FreshOS application at least thirty (30) days before the changes take effect, where reasonably possible.
If a significant change materially affects your rights or obligations, you may stop using FreshOS before the effective date.
Continued use of FreshOS after the effective date constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
13. General Conditions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
Our failure to enforce a provision does not constitute a waiver of our right to enforce it later.
These Terms, together with the Privacy Policy and any applicable additional agreement (including the Data Processing Agreement), form the agreement between FreshOS and the Merchant regarding use of the Service.
14. Governing Law
These Terms are governed by the laws of the Kingdom of Thailand.
Any dispute arising from these Terms or the use of FreshOS shall be submitted to the competent courts of Thailand, subject to any mandatory legal provisions.
